DEFINITIONS

a) The ‘Operator’ refers to a business centre, an individual, a provider or a company acquiring the services of Ideal Office Search Limited or associated companies.

b) The ‘Operator’ appoints the ‘agent’ Ideal Office Search Limited for the introduction of new business, subject to the following terms:

TERM AND CONDITIONS

1. REGISTRATION

a) Any ‘Operator’ registering their services with Ideal Office Search Limited is entirely free of charge and there are no joining or annual membership fees. 

b) Any products and services or listings provided by ‘Operator’ will be listed on Ideal Office Search Limited's website www.Idealofficeserch.co.uk, once confirmation by email is received, stating that the ‘Operator‘ agrees with Ideal Office Search Limited Terms and Conditions.

c) Ideal Office Search Limited reserves the right to promote the ‘Operator’ services on any third-party advertising platforms. The information used on selected third-party platforms shall be correct and consistent with the content on Ideal Office Search Limited's website.

2. NEW CUSTOMER INTRODUCTION 

a) A successful introduction is made when Ideal Office Search Limited passes the details of a customer on to the ‘Operator’. This introduction is made by way of the Ideal Office Search Limited's email introduction. 

b) In certain circumstances, it may not be possible to make an introduction by email due to factors beyond our control, therefore a successful introduction will be made by telephone, text message or other social media platform. This will be followed up by an email introduction at a later date for further confirmation. When an email introduction is not received by an 'Operator' due to factors for which we can accept no responsibility, such as spam or junk mail filtering, Ideal Office Search Limited deems that a successful introduction has been made and that Ideal Office Search Limited will be due all fees outstanding, in line with the Terms and Conditions set out in this document. 

3. PAYMENT

a) All referrals or introduction of customers by Ideal Office Search Limited shall be deemed to give rise to commission payments upon completion of contracts unless the ‘Operator’ is able to demonstrate to a reasonable satisfaction within 48 hours of a referral that it has previously been contacted by such persons other than through a referral from Ideal Office Search Limited.

b) Commission payable for a successful introduction shall be an amount of 10% of the fully inclusive license fee payable by the customer to the ‘Operator’ during the first 12 months of the customer’s occupancy, unless additional fees are agreed by prior arrangement.

c) The commission shall be due as soon as the ‘Operator’ receives a signed agreement from the customer.

d) In the event that a referred client proceeds with freehold or long leasehold purchase then our fees will be based on 3% of the purchase price unless prior agreement has been reached.

e) The ‘Operator’ agrees to email or call Ideal Office Search Limited with the customer details, including date of commencement, company name and monthly inclusive licence fee, within 48 hours of receiving signed documentation from the customer.

f) Should license fees from a particular customer increase or decrease during the term of the agreement, it is the responsibility of the ‘Operator’ to inform us in writing so invoices can be adjusted accordingly.

g) Any commission payments will be payable within 30 days of the due date of the invoice. Failure to receive payment within this time will entitle Ideal Office Search Limited to charge interest of 4%.

h) It is understood that any client, applicant or customer that is referred to you by Ideal Office Search Limited or associated companies are strictly for use of the ‘Operator’ company only. The ‘Operator’ can only use the referral information in relation to offering ‘Operator' services. It is not to be passed on to third parties such as another agent, broker or ‘Operator’ without the prior approval of Ideal Office Search Limited and the applicant. When the same lead has been supplied by more than one ‘agent’, then it is the ‘agent’ who arranges the viewing and that viewing is kept, who shall receive the fees. In the event that an agent does not arrange a viewing, then the first agent to make the referral secures the fee.

i) It is assumed that the ‘Operator’ acknowledges and accepts a new Ideal Office Search Limited referral on receipt of our email introduction, unless the ‘Operator’ responds by email to Ideal Office Search Limited's introduction within 48 hours, stating that a customer introduction has been rejected, as the customer is already known to the ‘Operator’. The time, date and source of referral shall also be specified in the ‘Operator' email response. If a rejection email is not received by Ideal Office Search within 48 hours, all outstanding fees shall remain payable to Ideal Office Search Limited.

4. TERMINATION OF AGREEMENT:

a) These terms and conditions shall be terminable with immediate effect by either party on given written notice. Any fees due in accordance with the terms and conditions shall still apply for any customers introduced by Ideal Office Search Limited prior to the termination date.

5. CHANGE OF OWNERSHIP/INSOLVENCY:

a) In the event of a sale or insolvency, commission payable in accordance with these terms and conditions shall be due and payable in full. It is the responsibility of the ‘Operator’ to advise Ideal Office Search Limited in writing to ensure the new owners are aware of future commission payment obligations to Ideal Office Search Limited. Should a subsequent owner not agree to cover remaining commission obligations, those payments will be due from the vendor.
